Bank of Commerce Holdings (the “Holding Company”) is a corporation organized
under the laws of California and a financial holding company (“FHC”) registered
under the Bank Holding Company Act of 1956, as amended (“BHC Act”). The Holding
Company’s principal business is to serve as a holding company for Redding Bank
of Commerce™, Roseville Bank of Commerce™, Sutter Bank of Commerce™ and Bank of
Commerce Mortgage™, and for other banking or banking-related subsidiaries which
the Holding Company may establish or acquire (collectively the “Company”). The
Holding Company also has two unconsolidated subsidiaries, Bank of Commerce
Holdings Trust and Bank of Commerce Holdings Trust II. The Company is listed on
the NASDAQ National Market under the trading symbol BOCH (Bank of Commerce
Holdings).
The Bank was incorporated as a California banking corporation on November 25,
1981, and received its certificate of authority to begin banking operations on
October 22, 1982.
