Recent Developments
On October 19, 2007, we entered into an Offer to Sell Notes with all of the
holders of our then outstanding senior secured convertible notes (the
"Convertible Notes"). Under the terms of the offer, at anytime prior to
November 9, 2007, we had the right to purchase the Convertible Notes for an
amount equal to 120% of the aggregate outstanding principal amount of the
Convertible Notes plus accrued and unpaid interest thereon.
