Our business operations and organizational structure result from the February 1,
2006, business combination of FIS and Certegy (the “Certegy Merger”), pursuant
to which FIS was merged into a wholly-owned subsidiary of Certegy. Immediately
after the Certegy Merger, the stockholders of FIS, including its then-majority
stockholder Old FNF, owned approximately 67.4% of our outstanding common stock.
