The Company is a one-bank holding company incorporated under the laws of the
State of New Jersey in November, 2006 to serve as a holding company for Bank of
New Jersey, referred to as the “Bank.” (Unless the context otherwise requires,
all references to the “Company” in this Annual Report shall be deemed to refer
also to the Bank). The Company was organized at the direction of the Board of
Directors of the Bank for the purpose of acquiring all of the capital stock of
the Bank. On July 31, 2007, the Company became the bank holding company of the
Bank pursuant to a plan of acquisition that was approved by the boards of
directors of the Company and the Bank and adopted by the stockholders of the
Bank at a special meeting held July 19, 2007.
