Dr. Zein Obagi founded WorldWide Product Distribution, Inc. in 1988. OMP
Acquisition Corporation was formed as a California corporation in October 1997
to purchase substantially all of the assets and to assume the accounts payable
and related operating liabilities of WorldWide Product Distribution, Inc. and
subsequently changed its name to Obagi Medical Products, Inc. in December 1997.
OMP, Inc. was incorporated in Delaware in November 2000 and, in January 2001,
Obagi Medical Products, Inc. was merged into OMP, Inc., with OMP, Inc. as the
surviving corporation. In December 2004, the stockholders of OMP, Inc. exchanged
their shares of OMP, Inc. for an equal number of shares in a newly formed
holding company incorporated in Delaware, Obagi Medical Products, Inc., which
became the parent holding company for all existing operations.
