Bancorp Rhode Island, Inc. ("we" or the "Company"), a Rhode Island
corporation, is the holding company for Bank Rhode Island (the "Bank"). The
Company has no significant assets other than the common stock of the Bank. For
this reason, substantially all of the discussion in this document relates to the
operations of the Bank and its subsidiaries.
The Bank is a commercial bank chartered as a financial institution in the
State of Rhode Island and was formed in 1996 as a result of the acquisition of
certain assets and liabilities divested in connection with the merger of Fleet
Financial Group, Inc. and Shawmut National Corporation. Headquartered in
Providence, Rhode Island, the Bank conducts business through 16 full-service
branches, with 12 located in Providence County, 3 located in Kent County and 1
located in Washington County.
