MainSource Financial Group, Inc. ("the Company") is a financial holding
company based in Greensburg, Indiana. As of December 31, 2007, the Company owned
three banking subsidiaries: MainSource Bank, MainSource Bank of Illinois, and
MainSource Bank — Ohio (together "the Banks"). The Company also owns all of the
outstanding stock of MainSource Bank — Hobart, although substantially all of the
assets of that bank were transferred to MainSource Bank in May, 2007. The
Company is a party to an agreement to sell the stock of MainSource Bank — Hobart
to a third party, which sale is anticipated to be comsummated in the first
quarter of 2008. Through its non-bank affiliates, the Company provides services
incidental to the business of banking. Since its formation in 1982, the Company
has acquired and established various institutions and financial services
companies and may acquire additional financial institutions and financial
services companies in the future.
