headquartered in Boyertown, Pennsylvania. Our address is Philadelphia and

National Penn was incorporated in January 1982. We provide a diversified range
of financial services, principally through our national bank subsidiary,
National Penn Bank, including its KNBT Division acquired in the February 2008
merger with KNBT Bancorp, Inc. (“KNBT”). In addition, we currently conduct
business through Christiana Bank & Trust Company (“Christiana”), a Delaware
