We are a diverse media concern with interests in national television networks
(“Scripps Networks”), newspaper publishing, broadcast television, interactive
media and licensing and syndication. All of our media businesses provide content
and advertising services via the Internet.
As previously announced, Scripps is pursuing a plan to separate into two
independent publicly traded companies. The proposed separation will create a new
company, Scripps Networks Interactive, which will include Scripps’ national
lifestyle media brands (HGTV, Food Network, DIY Network (“DIY”), Fine Living and
Great American Country (“GAC”) and their category-leading Internet businesses)
and online comparison shopping services (Shopzilla and uSwitch and their
